1. AGREEMENT TO TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Saifa Co., Ltd. (“Saifa AI,” “we,” “our,” or “us”) governing your access to and use of the Saifa AI platform, including any associated mobile applications, websites, and services (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.

2. DESCRIPTION OF SERVICE

Saifa AI is an AI-powered platform that evolves from an internal company knowledge assistant to a comprehensive omnichannel messaging and e-commerce management solution for businesses worldwide. The Service enables businesses to:

• Consolidate communication across multiple channels (Shopee, Lazada, Facebook, Instagram, Line, TikTok)
• Utilize AI-powered customer service agents
• Integrate with e-commerce platforms and service management systems
• Manage product information, orders, and customer data
• Create and manage knowledge bases for AI training

3. ACCOUNT REGISTRATION AND SECURITY

3.1. Account Creation

To use the Service, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to update such information to keep it accurate, current, and complete.

3.2. Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Immediately notifying us of any unauthorized use of your account

We are not liable for any loss or damage arising from your failure to comply with these requirements.

3.3. Administrator Access

If you register on behalf of a business entity, you represent and warrant that you have the authority to bind such entity to these Terms. The administrator account will have the ability to create user accounts and control user access to the Service.

4. SUBSCRIPTION AND PAYMENT TERMS

4.1. Subscription Plans

We offer various subscription plans as described on our pricing page. Your subscription will automatically renew at the end of each billing period unless you cancel it prior to the renewal date.

4.2. Payment Processing

Payment must be made using one of our supported payment methods. All fees are exclusive of applicable taxes, which may be added to the amount charged.

4.3. Changes to Fees

We reserve the right to modify our fees at any time. If we increase fees, we will provide you with at least 30 days’ notice before the changes take effect.

5. USER RESPONSIBILITIES

5.1. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates applicable laws or regulations
• Interfere with or disrupt the Service or servers connected to the Service
• Circumvent, disable, or otherwise interfere with security-related features
• Attempt to access the accounts of other users
• Use the Service to send unsolicited communications
• Engage in any automated use of the Service
• Introduce malicious code or viruses to the Service

5.2. Content Restrictions

You agree not to upload, transmit, or distribute content that:

5.3. Service Level Expectations

You acknowledge that:

• We strive for but do not guarantee 99.9% uptime
• The AI functionality is continuously improving but may not be perfect in all scenarios
• Some complex customer inquiries may require human intervention

6. THIRD-PARTY INTEGRATIONS

6.1. Third-Party Platforms

The Service allows you to integrate with third-party platforms (e.g., Facebook, Instagram, Shopee, Lazada). Your use of such third-party services is subject to their respective terms and policies. We are not responsible for the availability or accuracy of third-party services.

6.2. API Usage

Your use of third-party APIs through our Service is subject to:

• The terms and conditions of those third-party APIs
• Any usage limits imposed by those third parties
• Changes made by third parties to their services or APIs

6.3. Authorization

By connecting third-party accounts to our Service, you authorize us to:

7. INTELLECTUAL PROPERTY RIGHTS

7.2. Your Content

You retain all rights to any content that you upload, submit, or display through the Service (“User Content”). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute such content in connection with providing the Service.

7.3. Feedback

If you provide feedback or suggestions about the Service, we may use such feedback without restriction and without obligation to you.

8. DISCLAIMERS

8.1. Service Provided “As Is”

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2. AI Functionality

We do not warrant that:

• The AI will always provide accurate or complete responses
• The AI will be able to handle all customer inquiries without human intervention
• The AI will generate content that is always appropriate for your business needs

8.3. Third-Party Integrations

We do not warrant the continued availability of third-party platform integrations, as these platforms may change their APIs or terms of service at any time.

9. LIMITATION OF LIABILITY

9.1. Exclusion of Certain Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, REGARDLESS OF WHETHER SUCH LIABILITY IS BASED ON BREACH OF CONTRACT, TORT, OR OTHERWISE.

9.2. Cap on Liability

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT PAID BY YOU TO US DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

9.3. Essential Purpose

The limitations of damages set forth above are fundamental elements of the basis of the bargain between Saifa AI and you.

10. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Saifa AI and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising from:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any third-party right, including any intellectual property or privacy right

11. TERM AND TERMINATION

11.1. Term

These Terms will remain in effect until terminated by either you or us.

11.2. Termination by You

You may terminate these Terms at any time by canceling your subscription and ceasing all use of the Service.

11.3. Termination by Us

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms.

11.4. Effect of Termination

Upon termination:

• Your right to use the Service will immediately cease
• You will no longer have access to your account or any content stored within the Service
• Any fees paid are non-refundable, except as required by law
• All provisions of these Terms which by their nature should survive termination shall survive termination

12. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice through the Service or by other means. Your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.

13. DISPUTE RESOLUTION

13.1. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Thailand, without regard to its conflict of law principles.

13.2. Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall be resolved through:

• Informal negotiation (parties must attempt to resolve the dispute informally first)
• Mediation in Bangkok, Thailand, by a mutually agreed mediator
• If mediation fails, through binding arbitration in Bangkok under the rules of the Thailand Arbitration Center

13.3. No Class Actions

You may only resolve disputes with us on an individual basis and may not bring a claim as a plaintiff or class member in a class, consolidated, or representative action.

14. GENERAL PROVISIONS

14.1. Entire Agreement

These Terms constitute the entire agreement between you and Saifa AI regarding the Service and supersede all prior agreements and understandings.

14.2. No Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

14.3. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

14.4. Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

14.5. Force Majeure

We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control.
